If you covered another shareholder's capital shortfall in return for their dividends, start with the compensation agreement, not your voting majority. A DIFC shareholder capital shortfall dispute can turn on whether the parties genuinely agreed that arrangement, what funding was supplied and when the diversion ends. Paying more into the business does not by itself give you an unrestricted right to take someone else's distributions.

Put the original contribution promise and the later rescue arrangement side by side. The same documents should also identify what happens when the funding period ends.

Was this an agreed rescue arrangement or a unilateral penalty?

The distinction was central in Sam Precious Metals and others v Snyder Prime and others, CFI 030/2023. The judgment was issued on 23 December 2024 and amended on 23 January 2025. It upheld an agreement recorded in a shareholders' resolution dated 31 December 2020.

The company operated in Dubai Production City and was incorporated under the Dubai Creative Clusters Private Companies Regulations, not in the DIFC. The DIFC Courts' decision about this agreement should not be read as a general dividend rule for DIFC-incorporated companies. Your company's own legal regime still needs to be checked.

Snyder Prime had not supplied the 100 kilograms of gold working capital required by the operative agreement. Two co-shareholders supplied that capital instead. The Court found that the defaulting shareholder's representative had proposed foregoing dividends as compensation, and that the parties worked out and agreed the formula.

The decision did not recognise a general majority power to confiscate minority dividends whenever a capital call is missed. It enforced the particular agreement on the evidence. The parties' commercial compromise mattered more than calling the document a resolution.

For your arrangement, identify whose consent was required and whose consent was actually obtained. Keep the meeting record, draft circulated for comment, signatures and correspondence explaining the bargain. A majority-approved document should not be described as unanimous merely because the absent shareholder knew discussions were happening.

Key takeaway. Prove the agreement to redirect distributions. Proof that you rescued the company's cash position does not alone establish the terms on which another shareholder must compensate you.

How do you prove the DIFC shareholder capital shortfall?

Contribution disputes can become confused when every transaction involving a shareholder is counted as investment capital. In Sam Precious Metals, the Court distinguished the promised secure working-capital contribution from ordinary trading transactions or short-term third-party arrangements. Money or gold moving through the company did not necessarily fulfil the specific obligation.

Prepare a contribution schedule against the actual clause. Record the contributor, asset, quantity or value, delivery date, period it had to remain available and any repayment or withdrawal. If a third party supplied funds, explain whether that was accepted as performance of the shareholder's obligation or was a different company transaction.

The Court examined documents concerning a third-party capital transaction after allowing late evidence. Its amended ruling recording the 29 May 2024 evidential decision required the documents' provenance, terms, purpose and capital effect to be explained. Admission of the documents was not acceptance that they proved the promised contribution.

That is a useful discipline for a non-litigation review too. Do not hand over a stack of transfers with the conclusion contribution fulfilled. Explain how each transaction answers the contractual requirement. Preserve acknowledgments accepting substituted performance, but distinguish them from a simple acknowledgment of receipt.

If the arrangement required capital to remain committed for a period, examine withdrawals and repayment rights as well as its arrival. A temporary balance may not answer an obligation directed to continuing working-capital support.

What exactly does the dividend formula compensate?

The Sam Precious Metals resolution provided compensation for twice the number of days of the relevant contribution delay. It redirected the defaulting shareholder's dividend entitlement to the two funding co-shareholders equally. The agreement also addressed a separate consultancy-fee component. The Court treated this as a negotiated method of compensating them for assuming another participant's funding risk.

The parties did not know at the time how profitable the venture would be or how long the default would continue. The Court accepted the evidence that they had tried to devise a fair commercial formula in that uncertainty. Later profitability did not, on its findings, turn the agreed arrangement into oppression.

Do not copy the two-days-for-one formula into a different venture as though it were prescribed by DIFC law. It was the bargain in this case. Your formula needs to be read with its commercial purpose, applicable law, actual consent and any challenge to enforceability.

Separate ownership percentages from compensation streams. A shareholder may retain its shares while agreeing that certain distributions go elsewhere. A consultancy fee is not automatically another block of shares. Specify which recipient receives which payment, what happens if no dividend is declared and whether the arrangement concerns declared amounts or another defined measure.

Funding period

Identify the period during which the substitute capital must remain committed. Preserve evidence of both its arrival and any withdrawal.

Compensation period

Apply the agreed formula to the facts it measures. The period for redirected distributions may differ from the underlying funding period.

Payment stream

Distinguish dividends, consultancy fees and share ownership. A compensation formula should identify the actual entitlement being redirected.

Has the agreed end date already passed?

The operative declaration in Sam Precious Metals redirected dividends through 1 May 2026. From 2 May 2026, Snyder Prime was again entitled to receive its proportionate dividend share upon subsequent declaration and distribution by the company. That date has already passed as at 1 October 2026.

Do not describe the judgment as imposing a continuing dividend ban today. The declared end date is part of the outcome, not an administrative detail. This article does not establish whether later dividends were declared, paid or affected by another agreement or order.

For your company, create a calculation showing the start date, contribution or cure date, contractual outside date and final compensation date. Identify whether the formula counts days inclusively and what event ends the shortfall. Have disputed calculations checked before allocating another distribution.

Then reconcile the allocation records. Distinguish amounts that became payable during the compensation period from later declarations, and identify any dispute about timing or the meaning of the agreement. Do not resolve those questions merely by moving the payment date on a spreadsheet.

Common mistake. Continuing to redirect dividends because the original default was serious, without checking the agreed stopping point. The Sam Precious Metals declaration expressly restored the shareholder's proportionate entitlement from a specified date.

A current status review should therefore examine both the original default and the present entitlement. A historic finding of breach is not a substitute for reading the part of the order that explains when the remedy ends.

Can the shareholder escape the bargain by alleging pressure?

A signature does not make the surrounding circumstances irrelevant. But a claim of coercion or minority oppression needs a properly supported factual and legal basis. In Sam Precious Metals, the Court rejected that challenge on the evidence before it.

The judge found that the shareholder's representative had suggested the solution and willingly agreed the resulting formula. The contemporaneous meeting records and communications did not support the later account of coercion. Requests to sign an agreement already reached, coupled with an opportunity to comment, did not establish the alleged improper pressure on those facts.

This is not a universal rule that a funding crisis makes every agreement enforceable. Nor is it a finding about an arrangement imposed by a majority without the affected shareholder's consent. Keep the distinction between the case's findings and a different company's dispute.

If pressure is alleged in your matter, preserve the actual demands, alternatives discussed, timing, advice received and responses made. Identify who made the alleged threat and what consequence was threatened. Do not replace that account with labels such as unfair or blackmail without the supporting facts.

From the funding side, keep evidence of how the proposal emerged and what opportunity existed to review it. Do not treat silence as a convenient substitute for an approval that the records do not show. A balanced record allows the adviser to test the consent question before relying on the compensation arrangement.

Did a later agreement replace the original contribution claim?

The outcome was not a complete victory for the parties who supplied the missing capital. The Court dismissed the company's damages claim based on the earlier gold-contribution obligation. It found that the later share-transfer agreement had substituted a different contractual arrangement, accepted in satisfaction of the earlier obligation.

The Court relied on the transaction as a whole, the substituted funding obligations, the absence of a reservation and the agreement's entire-agreement wording. It rejected the argument that the later contract merely granted extra time for the original performance. The later dividend resolution was analysed separately as the agreed response to failure under the new arrangement.

This matters when preparing a claim. Do not add the old promised contribution, a substituted obligation and the agreed compensation together without analysing how the documents interact. A restructuring may change the basis of the rights being enforced. Whether it did so in your case depends on its terms and applicable law.

The trial was also limited in scope. The 8 May 2024 case-management order identified the issues to be tried and deferred others. The amended judgment did not decide every related shareholder, derivative or winding-up dispute.

Official case-number and party searches checked on 1 October 2026 did not locate a later merits reversal of this dividend declaration. That is a bounded public-record check, not a complete docket or certification of current distributions. An appeal reference in a related case should not be presented as an appeal from this particular determination without checking it.

What should the contribution and distribution review contain?

Give the adviser a document sequence: original investment promise, restructuring agreement, shortfall resolution, contribution evidence and distribution records. Explain which claim belongs to the company and which entitlement belongs to the funding shareholders. They should not be combined merely because the same people are involved.

  1. Identify the operative promise. State what capital was required, by whom, by when and for how long.
  2. Prove the agreed rescue. Attach consent records and show who supplied the replacement capital.
  3. Calculate compensation. Separate each payment stream and apply the precise period and allocation formula.
  4. Check the stopping point. Identify any cure, expiry or restoration provision before allocating further dividends.
  5. Reconcile earlier rights. Review what the restructuring replaced, what was reserved and which disputes remain undecided.

Company claim

Identify loss or performance owed to the company. Do not assume that a shareholder's compensation entitlement belongs to the same claimant.

Shareholder entitlement

Record the agreed allocation and evidence of contribution. Apply it only to the payment streams and period the agreement covers.

Present position

Check whether the remedy has ended. A resolved historic shortfall does not answer every question about today's dividend allocation.

The immediate task is to establish what the parties actually agreed to exchange: substitute funding for a defined compensation right. Once that is clear, the calculation and present entitlement can be assessed without turning a commercial rescue into an indefinite punishment.

Frequently Asked Questions

Can a majority redirect a defaulting shareholder's dividends automatically? The Sam Precious Metals decision does not establish that power. It enforced a particular agreement the Court found the affected parties had genuinely made.

Does arranging third-party trading money fulfil a capital commitment? Not necessarily. The Court distinguished trading transactions from the secure working-capital contribution promised. Compare each transaction with the actual obligation and any accepted substitution.

Is two days of dividends for one day's delay the legal formula? No. It was the negotiated formula in this case, not a prescribed DIFC default remedy.

Did the judgment remove the defaulting shareholder's shares? The relevant declaration redirected dividend entitlements for a defined period. It should not be described as a general forfeiture of that shareholder's ownership.

Is the dividend restriction in this judgment still running? The declaration ended the diversion on 1 May 2026 and restored proportionate entitlement from 2 May 2026 upon subsequent declaration and distribution. Those dates have passed. Actual later distributions are not established by this article.

Was the coercion challenge accepted? No. The Court rejected it on the particular evidence, including the proposal, agreement and contemporaneous records. That does not decide a different arrangement imposed without genuine consent.

Can the company also recover on the earlier contribution promise? In this case, that damages claim failed because the later agreement substituted and discharged the earlier obligation. The interaction of your documents and any reservation needs review.

Did this judgment resolve all related shareholder litigation? No. The trial was confined to specified issues and other matters were deferred. Related proceedings and any later orders must be checked separately.
