A Dubai minimum guaranteed revenue contract can leave you owing money even when the business generated less than you expected. The first question is whether the minimum payment bought contractual rights or was compensation triggered by a breach. Calling it a penalty because it now exceeds your earnings does not answer that question.

Put the actual payment clause beside the rights you received. This comparison helps identify the dispute before anyone prepares a repayment demand or stops paying.

What did your Dubai minimum guaranteed revenue contract actually buy?

Read the appointment and payment provisions together. A representative may pay for an opportunity to sell within an agreed territory, subject to specified exceptions. That is different from promising a particular level of sales and paying compensation if the promise is broken. The commercial documents may combine a minimum payment with a percentage of revenue above that minimum.

The distinction was central in Sky News Arabia FZ-LLC v Kassab Media FZ (LLC) [2018] DIFC CFI 067, whose written judgment was issued on 6 January 2020 following a December 2019 hearing. The agreement concerned advertising and sponsorship sales representation. The representative argued that earlier minimum payments should be recovered or set off because its exclusivity was limited and the business had not performed as hoped.

The Court rejected that analysis. The representative had received commercially valuable, although limited, exclusive rights. The minimum payments were the agreed consideration for those rights. The representative had not separately promised to achieve revenue above the minimum, so the payment was not compensation for breaching such a promise.

For your review, identify the exact asset in the bargain: access to a channel, a territory, a customer segment or a defined sales appointment. Then identify any promised support from the principal. Do not replace the signed allocation of rights with the business plan's description of what both sides hoped to achieve.

Do reserved customers mean that the exclusivity was worthless?

Not necessarily. In Sky News, the principal reserved certain customers to itself. Some generated no payment to the representative, while a separate category of direct customers carried an agreed revenue payment. Those exceptions were part of the contract. They did not make the remaining appointment legally valueless.

Prepare a customer map using the contractual categories. Record which customers were excluded from exclusivity, which were shared, and which attracted a separate payment. If you allege that the principal took a customer belonging to your category, identify the transaction and the clause. That is more specific than saying the relationship was never truly exclusive.

Reserved business

Identify customers or channels expressly retained by the principal. Keep those negotiated exceptions separate from alleged later departures from the agreement.

Your sales rights

Describe the territory, products and customers you were entitled to pursue. Compare actual access with the rights recorded in the appointment.

Payment entitlement

Match each customer category to its own revenue treatment. Do not assume every direct sale earns the same commission or credit.

A stronger complaint may concern conduct outside the agreed exceptions. For example, the file might show that a principal blocked access it had expressly promised or retained sales the agreement allocated to the representative. Those possibilities require their own factual and legal assessment. Sky News does not decide that a principal can breach exclusivity without consequence.

Also distinguish an unsuccessful opportunity from an opportunity never supplied. Sales might disappoint despite the representative having the agreed rights throughout. Alternatively, the promised inventory or access might have been withheld. The financial outcome may look similar, but the evidence and contractual complaint are different.

Why did the penalty and repayment arguments fail in Sky News?

The Court applied the UAE law governing that historic agreement. It considered the former Civil Code's unjust-enrichment provision and its provision on agreed compensation. The minimum had been freely agreed for lawful contractual consideration. The Court therefore rejected the attempt to recover it as a transfer without legal cause.

It also rejected the penalty argument because the minimum was not designed to compensate the principal for harm caused by breach. The classification mattered before any question of adjusting compensation could arise. A disappointing bargain was not converted into breach damages merely by describing the minimum as commercially unfair.

The procedural setting needs to be kept accurate. The representative did not attend the trial, but the Court refused the claimant's application to strike out its defence and considered the pleaded arguments. The sums then claimed concerned earned revenue shares exceeding the minimum in the relevant periods. Earlier minimum payments mattered because the representative sought to use them as a set-off. This was not simply a judgment for a series of unpaid minimum invoices.

Common mistake. Arguing only that the principal suffered no loss when the demand may be for an agreed primary payment. First identify what obligation the clause creates and which event makes it payable.

The decision does not prove that every clause labelled minimum guarantee is enforceable. An actual condition, a different trigger or another established ground of challenge could change the analysis. The label is the beginning of the inquiry, not the conclusion.

Can the old Civil Code provisions be used for a current dispute?

Do not copy the old article numbers from Sky News into a current demand without checking the applicable legislation and transaction dates. The judgment considered former Articles 318 and 390. Federal Decree by Law No. 25 of 2025 repealed the 1985 Civil Transactions Law and brought the replacement law into force on 1 June 2026.

The attached law's Article 4 states the general rule that legislation operates from commencement and does not apply retrospectively to preceding facts and acts unless otherwise provided. Applying that rule to a continuing commercial relationship requires attention to the relevant acts, obligations and any specific provisions. The invoice date alone should not be treated as the answer.

This guide uses Sky News to explain the distinction the DIFC Court actually drew in that dispute. It does not give a current statutory test for reducing agreed compensation. Before relying on one, have the governing law, operative provisions and their application to your contract checked. Choosing the DIFC Courts also does not, by itself, mean that DIFC substantive contract law governs the arrangement.

For that advice, supply the original contract date, amendments, performance periods and dates of the alleged defaults. If a renewal replaced earlier terms, provide both versions. A clear chronology prevents the legal analysis from silently switching between a historical judgment and a new statutory framework.

How should the revenue account be tested?

Once the obligation is identified, prepare an account that can be checked line by line. Separate the minimum for each period from the principal's share of earned revenue. Identify whether the contract credits one against the other or requires a different calculation. Do not assume the minimum and the full percentage share are automatically cumulative.

Reconcile invoices, receipts, cancellations, discounts and amounts already transferred. The contract should determine which items belong in the revenue base. If the parties dispute whether a customer belongs to a reserved category, show that classification issue separately. An apparently numerical disagreement may turn on which sales the agreement allocated to each party.

In Sky News, the Court accepted the accountant's verification of amounts against the underlying documentation, while rejecting the report insofar as it described the contract's operation. That distinction remains a useful instruction for preparation: an accounting schedule should identify its legal assumptions rather than conceal a disputed contract interpretation inside a spreadsheet.

If expert evidence is proposed in a DIFC claim, RDC 31.3-31.8 and 31.13 require independence within the expert's field and the Court's permission to call an expert or put an expert report in evidence. Commissioning a report is not a substitute for obtaining that permission. Give the accountant a clear list of disputed assumptions and ask for alternative calculations where appropriate.

For instance, if the parties disagree about a deduction, show the account with and without that deduction. The difference isolates what the legal issue is worth. Preserve the source records and formulae so the result can be reproduced. A rounded demand supported only by management's estimate makes it harder to identify an error or negotiate sensibly.

Can you renegotiate the minimum without admitting the existing demand?

A proposed commercial reset should address past liability and future obligations separately. You may want a lower floor, a narrower territory, revised reserved-customer treatment or an exit. None of those proposals necessarily resolves what accrued under the existing agreement. Make clear which period each proposed term addresses.

Prepare the economics before the negotiation. Show the effect of the minimum, actual revenue, deductions and operating costs over the relevant periods. Identify which support obligations were performed and which are disputed. This allows the parties to discuss the actual sources of the shortfall without pretending that commercial difficulty has already determined the legal result.

Past account

Separate admitted payments, contested calculations and disputed legal liability. Keep a credit proposal distinct from an acknowledgment that the whole demand is correct.

Future floor

Specify the revised amount, period and conditions proposed. Identify whether the change is temporary, a renewal term or a permanent amendment.

Exit mechanics

Address customers, records, outstanding collections and final reconciliation. A commercial separation needs implementation terms as well as a headline settlement amount.

Have any proposed release, payment arrangement or termination checked before signature. Avoid relying on a meeting note that says the parties will be reasonable if the executed payment obligation remains unchanged. Equally, do not assume that opening discussions suspends a payment date or a court timetable. Ask for any agreed standstill to be recorded accurately.

Where the principal proposes accepting a lower sum, identify whether it is a full settlement, a payment on account or a conditional concession. Record what happens if a later instalment is missed. Ambiguity about the concession can create a second dispute after the first account has ostensibly been resolved.

What should you prepare before refusing the next minimum payment?

Prepare a short clause-based assessment, not just a loss statement. The representative's business may be struggling, but the relevant legal question is whether the payment obligation arose on the agreed terms and whether an evidenced defence or counterclaim affects it. Keep the commercial request for relief separate from that analysis.

  1. Collect the appointment, schedules, amendments and complete minimum-payment clause.
  2. Map exclusivity, reserved customers and any support conditions.
  3. Separate minimum payments, earned revenue shares and breach-triggered compensation.
  4. Reconcile the account by period, including payments and disputed credits.
  5. Identify the applicable law and the dates relevant to the statutory transition.
  6. Obtain advice on the proposed response, payment position and any existing court documents.

The amended order reissued on 24 December 2019 records the monetary disposition in Sky News. It is an amended first-instance order, not an appellate endorsement of every proposition. Selected official sources were checked on 1 October 2026. The bounded later-treatment search did not identify a reversal of the minimum-payment reasoning and is not a complete court-file certification.

Key takeaway. Underperformance and contractual non-performance are not interchangeable. Determine whether the minimum paid for rights actually granted, depended on a condition, or compensated a breach before choosing the legal argument.

Frequently Asked Questions

Is every minimum guarantee a penalty? No. In Sky News it was consideration for limited exclusive sales rights, rather than compensation for breach. Your own clause must be classified on its terms.

Does limited exclusivity mean I received no value? Not necessarily. The agreed carve-outs did not defeat the value of the rights granted in Sky News. Conduct outside the agreed carve-outs needs separate assessment.

Can I recover payments because sales were disappointing? Disappointing sales alone did not support repayment in Sky News. Identify a contractual or other applicable legal basis rather than relying only on the financial outcome.

Was the Sky News claim only for unpaid minimum payments? No. The claim concerned earned revenue shares, while earlier minimum payments were raised through the representative's pleaded set-off position.

Does the judgment make former Article 390 the current rule? No. The UAE Civil Transactions framework changed in 2026. Applicable provisions and temporal application must be checked before relying on the historic article.

Can an accountant decide which sales belong to me? An accountant can test records and calculations. A disputed interpretation of the contractual allocation should be identified and legally assessed, not hidden in the accounting assumptions.

Does requesting a lower minimum change the contract? Do not assume so. Identify the amendment actually agreed, its effective date and whether it addresses past payments or only future periods.

Should I stop paying while the parties negotiate? Obtain advice on the existing obligation and consequences first. Negotiations should not be assumed to suspend payment or court deadlines.
